Terms of Trade

Our Services

We provide proprietary software solutions for lighting configuration and related tools, which may include development, setup, and ongoing access through a subscription.

Our services are business-to-business only and may involve:

  • Custom software development billed at an hourly rate

  • Ongoing software subscriptions based on agreed pricing and use case

  • Use of proprietary algorithms and processes

Ownership & Intellectual Property

  • All source code, designs, documentation, and proprietary algorithms created by us are owned by Energyline Limited.

  • You are granted a licence to use our software and services while your subscription is active.

  • You do not have any rights to the underlying source code or algorithms unless otherwise agreed in writing.

Use of AI and Data Handling

  • We may use AI technologies in the development of our tools.

  • We do not supply private or sensitive data to public AI models.

  • Where non-public data is used, it is processed using one-way models (e.g., Amazon Bedrock) that do not retain or reuse the data for training.

  • We do not share your confidential data with any third parties.

Confidentiality & Privacy

  • We do not intentionally collect or store confidential or private information unless explicitly required and agreed in writing.

  • Where confidential information is stored, we implement reasonable measures to restrict access. Access is limited to lead developers and only on a need-to-know basis.

  • We comply with the Privacy Act 2020 (New Zealand) in relation to the handling of personal information.

  • We do not share your confidential or personal information with third parties.

  • Any data used in connection with artificial intelligence tools is either publicly available or processed using secure, one-way AI models that do not retain or reuse your data.

* To support timely and accurate delivery of our services, both parties are encouraged to enter into a mutual Non-Disclosure Agreement (NDA). This NDA enables confidential information to be exchanged freely and securely between Energyline Limited (trading as Innovation Factory) and the Customer. A link to our standard NDA can be provided upon request and is intended to complement these Terms of Trade.

Subscriptions & Termination

  • Access to our software is subscription-based. Payment terms will be set out in your individual agreement or invoice.

  • If subscription fees remain unpaid for more than 3 months, we reserve the right to suspend or disable access to the software.

  • If fees remain unpaid for 12 months or more, we reserve the right to permanently delete any data held in your account, without further notice.

Liability & Disclaimer

  • Our software tools are developed to high standards and are used internally by us every day. However, we do not guarantee accuracy and are not liable for outcomes resulting from the use of our software.

  • You acknowledge that our tools provide guidance only, and professional judgment should be applied before acting on any output.

  • To the maximum extent permitted by law, we exclude all liability for indirect, consequential, or incidental loss or damage.

Governing Law

  • These Terms and any disputes or claims relating to them are governed by the laws of New Zealand.

  • Any disputes will be handled exclusively in the courts of New Zealand, regardless of where the services are supplied.

Changes to These Terms

We may update these Terms from time to time. Continued use of our services will be deemed acceptance of any updated terms.
