1. Terms of Trade
Scope of Services

We provide proprietary software solutions for lighting configuration and related tools. These may include:

  • Custom software development billed at an hourly rate

  • Setup, onboarding, or implementation services

  • Ongoing access to software through a subscription

All services are delivered business-to-business.

Ownership & Intellectual Property

All source code, designs, documentation, and proprietary algorithms are owned by Energyline Limited.

You are granted a licence to use our software and services while your subscription is active.

No rights to source code, algorithms, or underlying IP are granted unless expressly agreed in writing.

Key Definitions

Third-Party Data: Information, plans, schedules, specifications, or other materials supplied by you that were created by a third party and are not your intellectual property.

Aggregated Data: Data that has been collected, combined, or processed by us in such a way that it cannot be linked to you, your projects, or your confidential information.

Use of AI and Data Handling

We may use AI technologies to develop and operate our tools.

We do not supply private or sensitive data to public AI models.

Any non-public data is processed only through secure, one-way AI models (e.g., Amazon Bedrock) that do not retain or reuse data.

We do not share your confidential data with third parties.

Use of Third-Party Data

If you provide us with Third-Party Data (including building plans, lighting schedules, or specifications), you agree that we may:

  • Use and process such data (including names of buildings or creators contained in it);

  • Combine it with other data to generate industry or market insights;

  • Develop, commercialise, and derive revenue from services or insights created from such data.

For clarity: your identity as a customer and your confidential information will never be disclosed or associated with this use.

Confidentiality & Privacy

We only collect or store confidential information where explicitly required and agreed in writing.

Access is restricted to lead developers on a need-to-know basis.

We comply with the Privacy Act 2020 (NZ).

Confidential or personal information is never shared with third parties.

Any data used in AI tools is either publicly available or processed securely with one-way AI services.

We do not at any time collect personal information on our customers or users. Only business-to-business (B2B) data is collected.

Subscriptions & Termination

Software access is subscription-based. Payment terms are set out in your agreement or invoice.

If subscription fees remain unpaid for 3 months, we may suspend or disable access.

If unpaid for 12 months or more, we may permanently delete account data without further notice.

Liability & Disclaimer

Our tools are built to high standards and used internally by us daily.

However, we do not guarantee accuracy or outcomes and all outputs should be treated as guidance only.

To the maximum extent permitted by law, we exclude all liability for indirect, consequential, or incidental loss or damage.

Governing Law

These Terms are governed by the laws of New Zealand.

Disputes will be resolved exclusively in the courts of New Zealand.

Changes to Terms

We may update these Terms from time to time. Continued use of our services constitutes acceptance of updated terms.

2. Confidentiality & Privacy Policy

We take confidentiality and privacy seriously and apply reasonable measures to protect information.

Key Principles:

  • We only collect or store confidential/private information where explicitly required and agreed in writing.

  • Access to confidential data is restricted to lead developers on a need-to-know basis.

  • We comply with the Privacy Act 2020 (NZ).

  • We do not share confidential or personal information with third parties.

  • Any data used with AI tools is either publicly available or processed securely using one-way models that do not retain or reuse data.

  • We do not at any time collect personal information on our customers or users. Only business-to-business (B2B) data is collected.

This policy does not prevent us from using Third-Party Data in accordance with the Terms of Trade. Confidential information, including your customer relationship with us, will never be disclosed or linked to such use.

3. Use of Artificial Intelligence (AI) Policy

We utilise AI technologies to enhance the quality, efficiency, and scalability of our solutions. This policy sets out how we responsibly use AI while protecting confidentiality and integrity.

Scope

Applies to all services and products developed or delivered by Energyline Limited that involve AI technologies.

Use of AI in Service Delivery

AI may be used for code generation, data analysis, automation, and pattern recognition.

The goal is to improve performance, efficiency, and outcomes for clients.

Protection of Proprietary & Confidential Information

We do not use or expose proprietary, confidential, or customer-specific data to public AI models.

Any non-public data is treated as confidential and never entered into models that retain data.

Sensitive or proprietary data, where required, is only processed using secure, one-way AI services (e.g. Amazon Bedrock).

We do not at any time collect personal information on our customers or users. Only business-to-business (B2B) data is collected.

Use of Third-Party Data

Third-Party Data provided by clients may be used, stored, analysed, and incorporated into aggregated datasets.

Such datasets may be commercialised, but will never disclose the client’s identity or confidential information.

Data Governance & Compliance

We comply with all relevant data privacy laws, including the Privacy Act 2020 (NZ).

Data is anonymised where appropriate and safeguarded throughout its lifecycle.

Transparency & Accountability

We maintain transparency about how AI is applied in our services.

Clients may request a summary of AI use in their specific project.

Limitations of AI & Disclaimer

AI outputs are advisory only.

Professional judgment must always be applied before relying on results.

We do not accept liability for outcomes resulting from AI-generated outputs.

Review & Updates

This policy may be reviewed and updated as technology and regulation evolve. Clients will be notified of material updates affecting their data.
